SmartHub Sensors Beta Tester Agreement

Effective Date: January 2, 2025
Parties: This Beta Tester Agreement ("Agreement") is made between SmartHub Technologies Inc.. ("Company") and the individual who ordered the Beta Test Kit from Smarthubsensors.com ("Beta Tester").

1. Purpose
Thank you for your interest in the Smarthubsensor SmartHub Sensors’ Beta Program ("Program"). The purpose of this Program is to gather feedback on the performance, functionality, and user experience of the Smarthubsensor SmartHub Sensors RV Alarm and Monitoring Kit device and its associated services ("Product"). Your participation and feedback are invaluable to us for improving the final version of the Product. By signing this Agreement, you agree to the following terms and conditions.

2. Program Term & Service Fees
● Program Duration: The Program will last for a period of six (6) months, beginning on the date the Beta Tester activates the Product ("Beta Period").
● Beta Service: During the 6-month Beta Period, the Beta Tester will receive the Smarthubsensor RV Alarm and Monitoring Kit Hardware and Mobile App service free of charge.
● Post-Beta Subscription: At the conclusion of the 6-month Beta Period, the service will automatically convert to a paid subscription at the then-current monthly 6-month rate (estimated to be $74.99/semi-annually, subject to change with notice).
● Cancellation Option: The Beta Tester is under no obligation to continue the service after the Beta Period. The Company will send a reminder email at least thirty (30) days before the Beta Period ends. The Beta Tester may cancel the service via mobile applicaion at any time before the first billing date to avoid being charged.

3. Beta Tester Obligations
By participating in the Program, the Beta Tester agrees to:
● Submit Weekly Feedback: Provide honest and constructive feedback on a weekly basis through the Company's designated private FaceBook Group or designated email address. This feedback should include bug reports, usability issues, feature suggestions, and general impressions. Be available for video calls such as Zoom with at least 7 day’s notice.
● Be Available for Troubleshooting: Be reasonably available for scheduled phone calls or email exchanges with the Smarthubsensor SmartHub Sensors’ support team to troubleshoot technical issues. The Company will provide a minimum of two (2) days' advance notice for any scheduled communication.
● Provide a Product Review: Upon completion of the Beta Period, be willing to provide a fair and honest review of the Product. This review may be in a written format (for use on websites or in print) or as a short video testimonial.
● Share Installation Media: Take and share clear photographs of the final installation of the Smarthubsensor SmartHub Sensors’ Product in its operational environment. The Beta Tester grants the Company a worldwide, royalty-free license to use these images for marketing, promotional, and training purposes, with the option for the Tester to be credited or remain anonymous.
● Media Release : Agrees that we may reference and use their product reviews, testimonials, and related feedback in media releases, marketing, and promotional materials. All such references will be presented accurately and in a professional manner. We will provide copies of media releases upon request.

4. Confidentiality
The Beta Tester agrees that the Product, its features, its performance, and all related documentation are the confidential property of the Company. The Tester shall not share, publish, or disclose any of this confidential information with any third party without prior written consent from the Company. This includes posting on social media, public forums, or blogs.

5. Equipment
All Smarthubsensor SmartHub Sensors’ equipment provided to the Beta Tester remains the property of the Company during the Beta period. At the end of the beta program the customer may opt to keep the gateway and accessories by renewing the monthly subscription.

6. Disclaimer of Warranty
The Beta Tester acknowledges that the Product is a pre-release version and is provided "AS-IS" without warranty of any kind. The Product may contain bugs, errors, and other problems that could cause system failures.

7. Acknowledgment
By ordering the Beta testing kit from our website and upon delivery, the Beta Tester acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
